Research Use Only (RUO) – Terms and Conditions of Sale
🔒 Purity Guarantee
Union BioLab guarantees that all peptides sold conform to the purity specification stated on the Certificate of Analysis (CoA). This guarantee applies specifically to the CoA specification value.
If you are not satisfied with the purity based on the CoA specification, you are entitled to a full refund of the peptide cost. However, this refund does not extend to any indirect, consequential, or incidental damages. No additional liability is accepted by Union BioLab beyond the cost of the peptide itself.
⚠️ IMPORTANT LEGAL NOTICE
These Terms and Conditions constitute a legally binding contract. By clicking “I Agree” or by placing an order with Union BioLab, you are certifying that you have read, understand, and agree to the entirety of this document. You accept all liability and waive specific legal rights.
1. Mandatory Intended Use: Strictly for In Vitro Research Only
All chemical compounds, including peptides, (the “Products”) sold by Union BioLab (the “Seller”) are STRICTLY FOR IN VITRO SCIENTIFIC RESEARCH USE ONLY (RUO).
1.1. Absolute Prohibited Use (Global)
The Buyer warrants and covenants that the Products SHALL NOT be used for, marketed as, or consumed for:
Human or Animal Administration: Ingestion, injection, inhalation, or any other form of administration to any human or animal.
Therapeutic or Diagnostic Use: Treating, preventing, curing, mitigating, or diagnosing any disease or medical condition.
Finished Goods: Use as a drug, medicine, food additive, dietary supplement, cosmetic, or any component of a finished consumer product.
Illegal Activities: Any non-compliant use under any local, national, or international law.
1.2. US Regulatory Compliance (FDA Focus)
The Buyer warrants that the Products are not intended to be a “drug,” “cosmetic,” “food,” or “dietary supplement” as defined under the US Federal Food, Drug, and Cosmetic (FD&C) Act (21 U.S.C. § 301 et seq.). The Buyer agrees that any marketing, consumption, or therapeutic use violates the Seller’s exclusive intended use of “Research Use Only.”
1.3. EU Regulatory Compliance (REACH/CLP Focus)
The Buyer accepts sole responsibility for compliance with all applicable European Union laws, including the REACH Regulation (EC No 1907/2006) and the CLP Regulation (EC No 1272/2008) regarding chemical hazard classification, proper labeling, safety data sheets (SDS) management, and risk mitigation in a laboratory environment.
1.4. UK Regulatory Compliance (MHRA – Human Medicines Regulations 2012)
All products supplied under this Agreement are classified as non-medicinal research chemicals and are provided strictly for in vitro laboratory research use only. They are not licensed medicines under the Human Medicines Regulations 2012 (SI 2012/1916) and therefore do not require a marketing authorisation.
- Compliance with MHRA Guidance: The supplier operates in accordance with MHRA guidance on borderline products. No therapeutic claims or representations are made that would classify these products as medicinal under UK law.
- Advertising Restrictions: Products shall not be advertised, promoted, or represented for human or veterinary use, therapeutic benefit, or cosmetic application, in compliance with Part 14 (Advertising) of the Human Medicines Regulations 2012.
- Labeling and Documentation: All products must be clearly labeled as “Research Use Only – Not for Human or Animal Consumption” to ensure compliance and prevent misrepresentation.
- Medicinal Classification Trigger: Any claim or implication that a product can treat, prevent, or diagnose disease will classify it as a medicinal product, requiring MHRA authorisation.
- Risk Management and Disposal: The Buyer assumes full responsibility for safe handling and disposal in accordance with MHRA expectations and UK chemical safety standards. Safety Data Sheets (SDS) shall be provided to support compliance with REACH and CLP regulations.
2. Absolute Buyer Responsibility and Maximum Indemnification
The Buyer assumes SOLE AND ABSOLUTE RESPONSIBILITY for ensuring that the possession, importation, storage, handling, use, and disposal of the Products comply with all applicable laws in the Buyer’s jurisdiction.
2.1. Indemnification and Defense Obligation
The Buyer agrees to indemnify, defend, and hold harmless Union BioLab, its owners, agents, and employees (the “Indemnified Parties”) from and against any and all claims, suits, liabilities, losses, costs, expenses, and damages (including, but not limited to, reasonable legal fees, fines, penalties, settlements, and judgments) that arise out of or relate to:
Breach of Warranty: Any breach of the Buyer’s warranties in Section 1.
Prohibited Use: Any administration or attempted administration of the Products to any human or animal.
Regulatory Action: Any investigation, enforcement action, fine, or seizure of Products by the FDA, EMA, MHRA, or any other National or Global Regulatory Body due to the Buyer’s non-compliant use or handling.
Third-Party Claims: Any claim by a third party for injury, illness, or death allegedly caused by the Products.
The Buyer’s duty to defend the Seller is immediate upon notice of any such claim or legal action.
2.2. Importation Risk and Customs
The Buyer accepts all risk and liability associated with the importation of the Products. The Seller is not responsible for orders lost, seized, or delayed by customs or any regulatory authority in the Buyer’s country.
3. Governing Law and Limitation of Liability
3.1. Governing Law and Exclusive Jurisdiction
This Agreement shall be governed by and construed in accordance with the laws of England and Wales, United Kingdom, without regard to its conflicts of law principles.
The Buyer agrees that any legal action or proceeding arising under this Agreement shall be brought EXCLUSIVELY in the courts located in London, England, and the Buyer expressly consents to the personal jurisdiction and venue of such courts.
3.2. Limitation of Damages
In all cases, the Seller’s liability for any loss or damage arising from this sale shall be strictly limited to the lesser of the net purchase price paid for the specific Product in question. The Seller shall NOT be liable for any special, consequential, punitive, or incidental damages.
3.3. Severability and Waiver
If any part of this agreement is held to be invalid or unenforceable by a court of competent jurisdiction, that part shall be modified or deemed omitted only to the extent necessary to make the remaining parts fully enforceable. The Buyer expressly waives any right to claim that any law of their local jurisdiction renders this entire agreement invalid.
